Terms and Conditions

1. General Provisions

1.1. These Terms and Conditions (“Terms”) govern all sales and deliveries of products by Inelli OÜ (registry code: 11553673), hereinafter referred to as the “Seller”, to business customers (“Buyer”).

1.2. This online store is intended exclusively for registered business customers (B2B). By placing an order, the Buyer confirms that they are acting in the course of their business or professional activity.

1.3. The Seller reserves the right to amend these Terms at any time. The Terms applicable at the time of placing the order shall apply to each individual order.

2. Orders & Contracts

2.1. Orders can be placed through the online store 24/7. A contract is concluded when the Seller sends an order confirmation to the Buyer via email.

2.2. The Buyer is responsible for the accuracy of the information provided when placing an order (delivery address, contact details, VAT number, etc.).

2.3. The Seller reserves the right to cancel or refuse an order if the product is out of stock, the Buyer has outstanding debts, or there are other justified reasons.

2.4. Minimum order quantities may apply for certain products. These will be indicated on the product page.

3. Prices & Payment

3.1. All prices in the online store are displayed in euros (EUR). Prices can be viewed with or without VAT (20%) using the VAT toggle.

3.2. The Seller reserves the right to change prices without prior notice. The price valid at the time of order confirmation applies.

3.3. Payment is made by bank transfer based on the invoice issued by the Seller. The standard payment term is 14 days from the invoice date, unless agreed otherwise.

3.4. In case of late payment, the Seller is entitled to charge interest of 0.05% per day on the overdue amount.

4. Delivery

4.1. Delivery terms and costs are agreed upon separately for each order. The Seller will contact the Buyer after the order to arrange delivery.

4.2. Standard delivery within Estonia is typically 3–7 business days. Delivery times for international orders are agreed individually.

4.3. The risk of loss or damage to the goods passes to the Buyer upon delivery.

4.4. The Buyer must inspect the goods upon delivery and report any visible damage or discrepancies immediately.

5. Returns & Complaints

5.1. As this is a B2B store, the 14-day consumer withdrawal right does not apply. Returns are handled on a case-by-case basis.

5.2. Complaints regarding product defects or incorrect deliveries must be submitted in writing within 5 business days of receiving the goods, along with photographic evidence.

5.3. The Seller will respond to complaints within 10 business days and offer a replacement, repair, or credit note as appropriate.

5.4. Custom-made or personalized products cannot be returned unless they are defective.

6. Warranty

6.1. All products comply with applicable EU standards and regulations for medical and home textiles.

6.2. The warranty period for manufacturing defects is 12 months from the date of delivery, unless otherwise specified on the product page.

6.3. The warranty does not cover normal wear and tear, damage caused by improper use, washing, or storage.

7. Liability

7.1. The Seller’s liability is limited to the value of the defective goods. The Seller is not liable for indirect damages, lost profits, or consequential losses.

7.2. The Seller is not responsible for delays or non-performance caused by force majeure events.

8. Data Protection

8.1. The Seller processes personal data in accordance with the Privacy Policy.

8.2. Business customer data (company name, registration number, contact details) is stored for the purpose of fulfilling orders and maintaining the business relationship.

9. Final Provisions

9.1. These Terms are governed by the laws of the Republic of Estonia.

9.2. Any disputes arising from these Terms shall be resolved through negotiations. If no agreement is reached, disputes shall be settled in Harju County Court, Estonia.

9.3. If any provision of these Terms is found to be invalid, the remaining provisions shall continue to apply.
